Prevents Scope Creep. Defines Acceptance Criteria. Enterprise-Ready.
"Can you just add this one small thing?"
That question costs service businesses millions of dollars every year. It is called Scope Creep.
If your contract is vague, clients will assume everything is included. You end up doing 50 hours of extra work for $0.
The Solution: A watertight Statement of Work (SOW).
Most founders use a simple "Quote" or "Estimate." That is a mistake. An Estimate is a price; an SOW is a Project Constitution. It defines the boundaries of the deal so you can protect your margins.
The Legal Attorney SOW Template is designed for Agencies, SaaS Implementation teams, and high-end Consultants who need to manage client expectations professionally.
What You Get Inside the Kit:
1. The Master SOW Template (Word)
A robust, professional legal framework that integrates with your Master Services Agreement (MSA) or stands alone.
The "Anti-Scope Creep" Section: A dedicated area to list "Out of Scope" items. This prevents clients from demanding free extras later.
Strict Acceptance Criteria: Defines exactly what "Done" looks like. It stops clients from rejecting work based on vague feelings ("I just don't like it yet").
The "Auto-Acceptance" Timer: If the client ghosts you and doesn't review the work within 10 days, this clause deems the work "Accepted" so you can send the final invoice immediately.
2. Flexible Payment Modules
We pre-wrote the legal language for the three most common billing models. Just check the box and delete the rest.
Fixed Price: For clear deliverables.
Time & Materials: For hourly work with a "Not-to-Exceed" cap.
Monthly Retainer: For ongoing support.
3. The Change Order Form (Exhibit A)
A ready-to-use template for handling new requests. When a client asks for extra work, don't argue—just send them this form with a price tag attached.
4. 2026 AI & Remote Work Clauses
Modern problems require modern contracts.
AI Disclosure: Protects you by clarifying if you use AI tools (like Copilot) to deliver the work, which is now a requirement for many Enterprise clients.
Remote Data Security: Covenants ensuring your distributed team handles client data according to GDPR/CCPA standards.
Why Founders Need This Specific Template:
1. It Gets You Paid Faster
By defining the "Acceptance Testing" window, you remove the client's ability to delay payment indefinitely while they "think about it."
2. It Look Professional
Sending a Word document "Quote" looks amateur. Sending a structured SOW with Executive Summaries, Dependencies, and Change Control procedures makes you look like a Tier-1 Vendor.
3. It Protects Your Team
It explicitly lists "Client Obligations" (things the client must give you, like logos or API keys). If they delay giving you materials, this contract protects you from missing your deadlines.
Define the Deal. Protect Your Profit.

Frequently Asked Questions
1. Is this the same as a Master Services Agreement (MSA)?
No. An MSA covers the relationship (Confidentiality, Liability, Lawsuits). An SOW covers the project (What we are building, When it is due, How much it costs). You usually sign one MSA and then multiple SOWs over time.
2. Can I use this without an MSA?
Yes. We drafted this SOW to include "incorporation by reference" language, but it is detailed enough to serve as the primary project contract for smaller deals if necessary.
3. How do I handle changes?
Use the Change Order Form included in the kit. Never agree to changes via email. Requiring a signature on a Change Order creates a "psychological price tag" that stops clients from asking for freebies.
