Lawyer-Formatted. SEC Compliant. Venture-Ready.
You own the company. But do you have the paper to prove it?
We live in a digital world, but the "Paper Stock Certificate" is not dead. In fact, it is often the one document standing between you and your next milestone.
You will need physical certificates when:
Opening a Corporate Bank Account: Traditional banks often demand to see the physical certificate to verify beneficial ownership.
Applying for Founder Visas: Immigration officers require physical proof of your equity holding.
Closing Specific Investors: Many Angel Investors and foreign partners legally require a physical certificate for their tax records.
The "First Dollar" Moment: Every founder wants Certificate #1 framed on their wall.
The Problem: Most Templates Look Like "Receipts"
If you search online, you will find generic forms that look like dry cleaning receipts. They put the legal transfer text on the front (a huge mistake) and lack the critical SEC warnings required for private companies.
Using a bad template makes your company look like a hobby, not a venture-track startup.
The Solution: The Legal Attorney 2026 Kit
We have engineered a Stock Certificate suite that mimics the financial instruments used by companies on the NYSE. It is legally robust, visually impressive, and fully editable.
What You Get Inside the Kit:
1. The "Guilloche" Face Template (Word)
A beautiful, clean front-facing certificate. It includes the proper layout for the Company Name, Par Value, and Signatures.
Professional Standard: Designed to be printed on "Green Border" security paper for that authentic bank-grade look.
2. The SEC Compliance Backer (Word)
This is the most important file. A stock certificate is a "Security." If you issue it without the proper warnings, you are violating the Securities Act of 1933.
Our Backer Includes: The "1933 Act" Legend, Market Stand-Off provisions, and Right of First Refusal clauses. This text protects your company from unauthorized stock sales.
3. The Control Stub / Ledger (Word)
You can’t just hand out certificates; you must track them. This template creates the "Audit Trail" in your corporate binder, proving exactly when a certificate was issued and who received it.
4. BONUS: The 2026 Founder’s Issuance Guide (PDF)
A strategic manual that prevents you from making expensive mistakes. We explain:
-The "Mirror Principle" (matching your Board Consent).
-Why you should never fill out the "Assignment" section until you sell.
-How to handle "Lost Certificates" so they don't block an acquisition.
Why Founders Choose This Kit:
Instant Download: Get the files immediately in Microsoft Word (.docx) format.
Fully Editable: Type in your names and share counts directly. No handwriting required.
Audit-Proof: Creates the paper trail your lawyers will ask for during your Series A Due Diligence.
"Can't I just use a free template?"
You can. But free templates often miss the Restrictive Legends on the back. Without those legends, your shares might be legally considered "freely tradeable." If a disgruntled co-founder sells their shares to a competitor, and you didn't have that text on the certificate, you might not be able to stop them.

Frequently Asked Questions
Do I need special paper?
You can print these on standard white paper, but for the "Official" look, we recommend buying "Guilloche Pattern Bond Paper" (available at Amazon or Office Depot) and printing our template onto it.
Is this for LLCs or Corporations?
This template is designed for C-Corporations (Inc.) using "Shares." However, the text is fully editable, so it can easily be adapted for LLCs issuing "Membership Units."
Do I need a physical seal crimper?
It is optional. In modern Delaware law, the signature of the officers is sufficient. However, adding a physical crimp (embossment) adds a layer of anti-fraud protection that banks appreciate.
